1. Introduction
These Terms and Conditions govern your use of the website and services provided by Authentix Management Limited trading as North Roots ("we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.
2. Services
North Roots provides workflow modernisation and AI engineering services, including but not limited to Workflow Audits, Custom AI Agents, RAG Knowledge Systems and Fractional AI Engineering. The specific scope, deliverables and fees for any engagement will be outlined in a separate Statement of Work (SOW) or proposal.
3. Intellectual Property
Unless otherwise agreed in writing, all intellectual property rights in the custom software, workflows and systems developed by us during an engagement shall remain our property until full payment is received, at which point rights may be transferred as specified in the applicable SOW. Pre-existing intellectual property and proprietary tools used by us remain our exclusive property.
4. Confidentiality
We understand the sensitive nature of your business data and workflows. Both parties agree to maintain the confidentiality of any proprietary information shared during the course of our engagement. We will not disclose your confidential information to third parties without your prior written consent.
5. Limitation of Liability
To the maximum extent permitted by law, Authentix Management Limited trading as North Roots shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to our services or your use of our website.
6. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Authentix Management Limited is registered, without regard to its conflict of law provisions.
